Terms of Service

Growth Labs provides website design and digital marketing services for local businesses, including but not limited to:

• Foundation Site: custom StoryBrand-driven website design and development
• Website audits and assessments
• Brand scripting and copywriting
• Ongoing digital marketing services (where applicable)

The specific services, deliverables, and pricing for each engagement are confirmed at the time of sale.

2.1 All services require payment in full prior to commencement of work unless otherwise agreed in writing.

2.2 Current pricing:

• Foundation Site: $997 one-time flat fee
• Additional services: as quoted at time of sale

2.3 Payment is processed securely through Stripe. By providing payment information, you authorize Growth Labs to charge the agreed amount.

2.4 All fees are in US dollars. Growth Labs is not responsible for currency conversion fees charged by your bank or card issuer.

2.5 In the event of a payment dispute or chargeback initiated without prior communication, Growth Labs reserves the right to suspend or terminate services and pursue collection of amounts owed.

3.1 Due to the custom nature of our services, all sales are final once work has commenced.

3.2 Work is considered commenced upon: (a) receipt of your completed site intake form, or (b) 48 hours after payment is received, whichever occurs first.

3.3 If work has not yet commenced and you wish to cancel, you may request a full refund within 24 hours of payment by contacting team@hqgrowthlabs.com.

3.4 Growth Labs does not offer refunds based on subjective dissatisfaction with design aesthetics after delivery. We will make reasonable revisions to ensure the site meets the agreed specifications.

4.1 Growth Labs will deliver a completed website within 72 hours of receiving all required intake information and domain access credentials.

4.2 The 72-hour delivery clock begins when: (a) the completed onboarding intake form is received, AND (b) domain access has been granted to Growth Labs.

4.3 Delays caused by the Client (including failure to provide required information, assets, or domain access) will pause the delivery timeline. Growth Labs is not responsible for delays resulting from Client inaction.

4.4 Deliverables include: one homepage built to agreed specifications, mobile-responsive design, basic on-page SEO structure, and a contact form wired to the Client's designated email address.

4.5 The Foundation Site does not include: ongoing hosting (Client is responsible for domain and hosting costs), search engine optimization campaigns, paid advertising, social media management, or ongoing content creation, unless separately contracted.

5.1 Client agrees to:

• Provide accurate and complete business information
• Respond to Growth Labs requests within 48 hours
• Grant necessary domain and hosting access to enable site launch
• Review and approve delivered work within 5 business days
• Provide any required assets (logo, photos, content) within 48 hours of request

5.2 Failure to fulfill these responsibilities may result in project delays for which Growth Labs is not liable.

5.3 Client represents that all materials provided to Growth Labs (logos, photos, content, testimonials) are owned by the Client or that Client has the right to use them. Client indemnifies Growth Labs against any claims arising from use of Client-provided materials.

6.1 Upon receipt of full payment, Client owns all custom content, copy, and code created by Growth Labs for the Client's project.

6.2 Growth Labs retains the right to display the completed website in our portfolio and marketing materials unless Client requests otherwise in writing.

6.3 Any pre-existing tools, frameworks, templates, or proprietary systems used by Growth Labs in the delivery of services remain the property of Growth Labs.

7.1 The Foundation Site includes up to two rounds of revisions following delivery.

7.2 Revisions are defined as adjustments to existing content, layout, or design elements. New pages, new sections, or substantial restructuring beyond the original agreed scope constitute additional work and will be quoted separately.

7.3 Revision requests must be submitted within 5 business days of delivery. After this period, any changes will be treated as new work.

Both parties agree to keep confidential any proprietary business information shared during the engagement and not to disclose it to third parties without prior written consent.

9.1 Growth Labs is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of business, or loss of data.

9.2 Growth Labs' total liability to Client for any claim arising out of or related to these Terms shall not exceed the total fees paid by Client in the 30 days preceding the claim.

9.3 Growth Labs does not guarantee specific business outcomes, search engine rankings, lead volume, or revenue results from any website or marketing service.

Client agrees to indemnify, defend, and hold harmless Growth Labs and its principals, employees, contractors, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) Client's use of our services, (b) Client-provided materials that infringe on third-party rights, or (c) Client's violation of these Terms.

11.1 Either party may terminate an engagement with 30 days written notice.

11.2 Upon termination, Client is responsible for payment of all work completed up to the termination date.

11.3 Growth Labs reserves the right to terminate services immediately and without refund if Client engages in abusive, fraudulent, or illegal conduct.

12.1 In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation.

12.2 If negotiation fails, disputes shall be resolved through binding arbitration in Dublin, Ohio, under the rules of the American Arbitration Association.

12.3 These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law provisions.

12.4 Client waives the right to participate in class action lawsuits related to Growth Labs services.

Growth Labs reserves the right to modify these Terms at any time. Updated Terms will be posted at hqgrowthlabs.com/terms with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.

These Terms, together with any order confirmation or invoice, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.
